Notice is hereby given that a Petition (the "Petition") was presented to the Court of Session (the "Court") on 14 June 2019 by Lewmar Marine Li mited ("Lewmar"), a private limited company i ncorporated under the Companies Acts 1862 to 1890 (company number SC002445) with its registered office at 1 George Square, Glasgow, G2 IAL, for the sanction of a Scheme of Arrangement (the "Scheme"), pursuant to Part 26 of the CompaniesAct 2006

At a meeting held under the authority of the Court on I2 July 20I9 (the "Court Meeting"), the Scheme Shareholders voted to approve the Scheme.

the related special resolution.
Following the Court Meeting and by order dated 15 July 2019, the Court
(i) ordered that the Petition should be advertised once in each of
The Edinburgh Gazette, The Herald, and The Times (English and Scottish editions) newspapers; and (ii) allowed all persons claiming an interest in the Petition to lodge written answers to the Petition, if so advised, at the Court, Parliament House, Parliament Square, Edinburgh, EHI IRQ, within 14 days after the publication of the last of those advertisements.

The Court hearing to sanction the Scheme is expected to be held on 31 July 2019 at the Court, the address of which is set out above. A copy of the circular (the "Circular") incorporating the Scheme and the explanatory statement required to be furnished pursuant to section 897 of the

Act has been published and is available for Scheme Shareholders from
Lewmar's website
Circular was sent in advance of
the Court Meeting and has been sent to, among others, the Scheme
Shareholders. Further copies of the Circular may be obtained, free of charge, until the Effective Date (as defined in the Scheme^ (i) in person, during no?!
business hours on any day (Saturdays, Sundays and public holidays excepted)
from the registered office of Lewmar at I George Square, Glasgow, G2 IAL or
(ii) by contacting the Shareholder Helpline on 0121 585 II3I (or (0)I2I 585 II3I if calling from outside the UK) between 9.00 a.m. and 5.00 p.m. Monday to Friday (excluding bank or public holidays).
Any Scheme Shareholder, or other person who considers that he or she has an interest in the Scheme (each an "Interested Party") and who is concerned that the Scheme may adversely affect him or her, is entitled to be

heard by the Court, as explained below.
If an Interested Party wishes to raise concerns in relation to the Scheme with the Court or appear at the Court hearing he or she should seek independent
legal advice and lodge written answers to the Petition with the Court at the above address within I4 days after the publication of the last of the
advertisements referred to above and pay the required fee. Written answers are a formal Court document which must comply with the rules of the Court and are normally prepared by Scottish counsel.
The practice of the Court is to consider written objections to a scheme of arrangement which are not in the form of written answers and/or to allow a
person who has not lodged written answers to appear at a hearing on that scheme. Each Interested Party should note that, despite that practice, the
